Assist attorneys with corporate governance, business planning, and transactional matters.
Prepare, draft, and organize corporate documents, including formation, dissolution, and maintenance filings.
Manage entity databases and ensure compliance with state and federal filing requirements.
Support due diligence processes for mergers, acquisitions, and other transactions.
Coordinate document execution, closing binders, and post-closing activities.
Conduct legal and factual research related to corporate and financial matters.
Communicate effectively with clients, vendors, and internal teams to ensure timely completion of projects.
Requirements
Minimum of 5 years of experience in corporate governance, business planning, and transactional law.
Strong understanding of corporate structures and filing procedures.
Exceptional organizational skills with the ability to manage multiple priorities and deadlines.
Excellent written and verbal communication skills.
Proficient in Microsoft Word and Excel; experience with document management systems preferred.
Team-oriented attitude and a high degree of professionalism.
Compensation and Benefits
Salary Range: $76,500 - $179,000 (commensurate with experience).
