Our client serves as trusted counsel for individuals and small and mid-sized businesses across the Commonwealth of Kentucky and beyond, providing counsel on corporate, M&A, labor-and-employment, and litigation matters. They are seeking an experienced Corporate/M&A Attorney who will lead the expansion of the Corporate and M&A practice.Key ResponsibilitiesLead mergers & acquisitions transactions from initial client engagement through closing and post-close integrationManage both buy-side and sell-side transactions across a range of deal sizes and structuresConduct and oversee due diligence, including pre-LOI analysis through closingDraft, review, and negotiate key transaction documents (LOIs, purchase agreements, ancillary agreements)Advise clients on deal structuring, financial considerations, and risk mitigation strategiesServe as the primary point of contact for clients throughout the transaction lifecycleCollaborate with internal teams to cross-sell additional firm services where appropriateContribute to the growth and strategic direction of the firm's corporate/M&A practiceQualificationsJuris Doctor (J.D.) degree from an accredited law schoolAdmission to practice in the Commonwealth of Kentucky (out-of-state candidates willing to sit for the Kentucky bar exam or eligible for admission in Kentucky will be considered)7–10+ years of experience in corporate law with a strong emphasis on M&A transactionsPrior law firm experience strongly preferredDemonstrated ability to independently lead and close transactionsExperience handling both buy-side and sell-side dealsStrong understanding of financial statements, valuation concepts, and deal structuresExcellent drafting, negotiation, and client management skillsCompetitive salary commensurate with experience (and portable book of business 401(k) retirement plan with profit-sharing and safe-harbor (match) contributions)#J-18808-Ljbffr
